1. Acceptance of Terms
These Terms of Service (“Terms”) are a binding agreement between you (“Customer”) and Modex Ventures operating OrderGrace Shopify Widget (“OrderGrace”, “we”, “us”). By joining the OrderGrace invitation waitlist, creating an account, completing checkout, or using the OrderGrace software desk, APIs, or related services (“Services”), you agree to these Terms. OrderGrace is a separate product company within the Modex fleet with its own website at this domain path, commercial terms, and policies.
2. Subscription & Billing
OrderGrace is sold as B2B / institutional software (or B2C where published on the product page). Pricing may include a base retainer, modular / subject / stage packs, metered overages, and add-ons. Unused optional modules or packs bill at £0 / $0. Annual prepaid plans may receive a published discount (typically 15%). No free trial unless explicitly stated on the OrderGrace pricing surface. Payments are processed via Stripe or invoice as agreed.
3. No Refunds Policy
Except where required by law, fees are non-refundable once a billing period begins. Invitation priority does not guarantee deploy dates. Card-hold authorisations (if used) are not charges until you confirm a paid deploy.
4. API, Data & Acceptable Use
You may use OrderGrace only for lawful business (or permitted consumer) purposes. You must not reverse engineer, abuse rate limits, upload unlawful content, or attempt to bypass metering or access controls. You are responsible for credentials, end-user notices, and data you connect to OrderGrace.
5. Limitation of Liability
To the fullest extent permitted by law, OrderGrace Shopify Widget and Modex Ventures are not liable for indirect, incidental, or consequential damages. Aggregate liability in any twelve-month period is limited to fees paid for OrderGrace in that period. OrderGrace is software infrastructure — not legal, medical, tax, or educational advice.
6. Intellectual Property
OrderGrace, its trademarks, UI, models, documentation, and catalogues remain Modex Ventures /OrderGrace Shopify Widget IP. You receive a limited, non-exclusive licence to use the Services during an active subscription.
7. Confidentiality & Privacy
Each party will protect confidential information. Personal data is processed under the OrderGrace Privacy Policy at /legal/ordergrace/privacy.
8. Termination
Either party may terminate per the order form or dashboard controls. On termination, access ends at period end unless earlier suspension for breach or non-payment. Export windows follow the Privacy Policy.
9. Governing Law
These Terms are governed by the laws of England and Wales. Courts of England and Wales have exclusive jurisdiction, except where mandatory consumer protections apply.
